Terms & Conditions

By commissioning work, signing a statement of work (SOW), or utilizing any technical systems provided by ADD NEW ONE TECHNOLOGY, the client confirms that they have read, understood, and agreed to be legally bound by these Terms and Conditions.

The explicit technical requirements, sprint deliverables, timelines, and acceptance criteria for each project shall be detailed in a written Statement of Work (SOW). Any modifications or out-of-scope feature requests shall be processed through our standard Change Request (CR) workflow.

Full Code Ownership: Upon full and final settlement of all invoiced milestones, all customized source code, database architectures, and UI/UX assets created specifically for the client shall become the exclusive intellectual property of the client.

Pre-existing Assets: Any proprietary frameworks, boilerplate utilities, or open-source modules remain under their original licensing models.

The client agrees to provide necessary API credentials, brand materials, hosting environments, and timely milestone approvals within standard review cycles to maintain sprint delivery velocity.

Invoices are issued in Indian Rupees (INR) or agreed foreign currency as per the project contract. Invoices are payable within the net terms stated on the commercial invoice. All statutory taxes (including GST) shall be applicable as per Indian government regulations.

To the maximum extent permitted by applicable Indian law, ADD NEW ONE TECHNOLOGY's aggregate liability for any direct claim arising from service delivery shall be strictly capped at the total fee received for the specific milestone in question.

Both parties agree to treat all business strategies, algorithmic structures, trade secrets, and customer data as strictly confidential, remaining protected during and after project completion.

Either party may terminate an ongoing agreement with 30 days written notice. In such cases, the client shall settle all work completed up to the termination timestamp, and all developed code will be transferred accordingly.

These terms and all commercial contracts are governed by and construed under the laws of the Republic of India. Any disputes or arbitration shall fall under the exclusive jurisdiction of the competent courts in Indore, Madhya Pradesh, India.
